Capital Rooms Participation Terms

Effective Date: June 1st, 2026

These Capital Rooms Participation Terms govern applications for, admission to, attendance at and participation in any Capital Room organised or administered by Deployed Capital Intelligence Ltd. By accepting an invitation, registering, paying a fee, accessing materials or attending any part of a Capital Room, you agree to these Terms.

1. About Deployed and Capital Rooms

Deployed Capital Intelligence Ltd ("Deployed", "we", "us" or "our") organises private, invitation-only institutional programmes known as "Capital Rooms". Capital Rooms may include presentations, moderated discussions, dinners, roundtables, permissioned materials, digital workspaces and meetings independently requested and accepted by participants.

Capital Rooms are intended to provide a controlled environment in which institutional and professional participants may receive information, exchange general market and sector perspectives and engage independently with one another. Deployed acts as organiser and administrator of the programme.

Capital Rooms may be held physically, virtually or in hybrid form and may include pre-event and post-event administrative communications.

2. Acceptance and Contractual Framework

These Terms apply to each applicant, attendee, opportunity owner, sponsor, speaker, moderator, adviser, invited guest and other participant (each a "Participant"). Where an individual participates on behalf of an organisation, the individual confirms that they are authorised to bind that organisation, and both the individual and organisation are responsible for compliance.

These Terms must be read with the applicable event notice, registration or order form, Deployed's Terms of Use, Regulatory Disclaimer and Privacy Notice, and any applicable non-disclosure agreement, sponsor terms, opportunity-owner terms, venue rules or other event-specific conditions (together, the "Related Terms").

If there is an inconsistency, any separately signed agreement prevails, followed by any applicable non-disclosure agreement, role-specific terms, event notice, these Terms, the Regulatory Disclaimer, the Terms of Use and the Privacy Notice, unless the relevant document expressly states otherwise.

3. Institutional and Professional Participation Only

Capital Rooms are intended only for institutional, professional, sophisticated and qualified private-market participants acting for business or professional purposes. They are not intended for retail investors or consumers.

By applying for or participating in a Capital Room, each Participant represents and warrants that:

• it is acting for institutional, professional or business purposes and not as a retail consumer;

• it has legal capacity and authority to participate and to represent any organisation identified to Deployed;

• its participation and receipt of information are lawful in every relevant jurisdiction;

• all information supplied to Deployed is accurate, complete in all material respects and not misleading;

• it will comply with applicable law, regulation, sanctions, confidentiality, data protection and professional obligations; and

• it will conduct its own assessment and obtain its own legal, financial, tax, regulatory, technical and other advice.

4. Applications, Invitations and Admission

Applications, invitations and attendance are subject to Deployed's approval. Deployed may request identity, organisational, mandate, regulatory, jurisdictional, authority, sanctions or other information relevant to admission, access control, programme quality, confidentiality or risk management.

Deployed may accept, decline, condition, restrict, suspend or revoke an application, invitation, registration or access at its discretion, including where a legal, regulatory, sanctions, confidentiality, security, operational, commercial or reputational concern may arise. Unless required by law, Deployed is not obliged to provide reasons.

Invitations, badges, tickets, access links and credentials are personal, non-transferable, non-assignable and not for resale. Substitutions require Deployed's prior written approval.

Admission to one Capital Room does not create membership, Founding Member status, platform access, priority admission or any entitlement to attend a future Capital Room.

5. Deployed's Limited Role

Deployed acts solely as organiser and administrator of the Capital Room. Its activities may include establishing admission criteria, designing the programme, arranging venues and technology, administering confidentiality and access controls, sharing materials authorised by their owners, moderating discussions, receiving meeting requests and scheduling meetings independently requested and accepted by Participants.

Except where expressly agreed in a separate written agreement through an appropriately authorised entity, Deployed does not provide investment, financial, legal, tax, regulatory, valuation, accounting, technical or other professional advice.

Deployed does not recommend, promote, endorse, verify, approve, arrange, broker, place, negotiate, solicit, intermediate, execute, clear or settle any investment, financing, acquisition, disposal or other transaction. Deployed does not make arrangements with a view to Participants entering into transactions in investments, determine whether an Opportunity is suitable for a Participant, recommend counterparties, solicit commitments or communicate transaction terms on behalf of another person.

Nothing in a Capital Room creates a fiduciary, advisory, agency, client, partnership, joint venture, representative or mandate relationship between Deployed and any Participant.

6. Opportunities, Screening and Materials

An "Opportunity" means any asset, company, project, fund, financing requirement, equity requirement, debt requirement, recapitalisation, acquisition, disposal, liquidity requirement or other commercial or investment matter presented or discussed in connection with a Capital Room.

Opportunities and related materials are prepared, owned and communicated by their respective opportunity owners or authorised representatives. Those persons remain solely responsible for the content, accuracy, completeness, legality, approval, targeting and distribution of their materials and statements.

Deployed may review an Opportunity or materials for programme-selection, presentation-readiness, access-control, format, relevance and event-governance purposes. Any reference to an Opportunity being "screened", "approved", "accepted", "selected" or "included" refers only to that internal administrative process.

Inclusion in a Capital Room does not constitute verification, due diligence, endorsement, recommendation, investment approval, underwriting, rating, valuation, credit assessment, suitability determination or guarantee by Deployed.

Deployed does not warrant that any Opportunity, Participant, statement, model, forecast, data point, document or other information is accurate, complete, current, lawful, reliable or suitable for any purpose.

7. Financial Promotions and Regulatory Responsibility

Nothing in these Terms authorises any unlawful or unauthorised financial promotion, offer, solicitation, inducement, securities offering, investment marketing, placement, arranging activity or other regulated activity.

Each Participant is solely responsible for determining whether its communications, presentations, materials, invitations or conduct constitute a financial promotion, offer, solicitation, regulated activity or analogous activity in any jurisdiction, and for ensuring that they are lawful, appropriately authorised or approved, exempt where applicable, directed only to eligible recipients and accompanied by all required legends, disclosures and risk warnings.

Opportunity owners must not use a Capital Room to conduct regulated activity requiring authorisation, registration, licensing or approval unless they hold the required status or have established an applicable legal basis with their own advisers.

Deployed may restrict or remove materials, sessions or Participants where it considers that a regulatory, financial-promotion, securities-law, jurisdictional or compliance issue may arise, but Deployed is not responsible for determining or assuring the compliance of a Participant's communications.

8. Independent Decisions and No Transaction Obligation

Each Participant is solely responsible for its own diligence, analysis, valuation, risk assessment, approvals, decisions, negotiations, agreements and compliance. Participants must not rely on Deployed, the programme, admission, screening, moderation, meeting administration or any Capital Room Materials as advice, verification or a recommendation.

Participation does not oblige any person to disclose information, provide access, accept a meeting, respond, conduct diligence, make an offer, invest, lend, acquire, dispose, negotiate or complete a transaction.

Any diligence, negotiation, financing, investment, acquisition, disposal, agreement or transaction arising from a Capital Room must be conducted independently by the relevant parties and their advisers. Deployed is not a party to any resulting transaction or transaction document unless it expressly agrees otherwise in writing.

9. Meeting Requests and Introductions

Where Deployed makes meeting functionality available, a Participant may independently request a meeting with another Participant. The requested Participant may accept or decline in its sole discretion.

Deployed's role is limited to transmitting or administratively scheduling a request. Deployed does not recommend that a meeting occur, represent that the parties are suitable counterparties, require any person to meet or assume responsibility for discussions during or after a meeting.

Payment, sponsorship or attendance does not purchase or guarantee access to an investor, lender, acquirer, opportunity owner or other Participant; acceptance of a meeting; review of materials; feedback; diligence; financing; investment; negotiation or transaction.

10. Confidentiality and Use of Information

Participants must keep confidential all non-public information disclosed in connection with a Capital Room where it is identified as confidential or where a reasonable institutional participant would understand from its nature or the circumstances that it is confidential ("Confidential Information").

A Participant may use Confidential Information only for its internal evaluation of the relevant Opportunity or relationship and may disclose it only:

• to its directors, officers, employees and professional advisers who need to know it for that purpose and are bound by confidentiality obligations;

• with the prior written consent of the person that disclosed or owns it; or

• where disclosure is required by law, regulation, court order or a competent authority, after giving advance notice where legally permitted.

Participants must not copy, forward, publish, distribute, sell, scrape, upload, reproduce or otherwise make available any confidential attendee information, Opportunity Materials, attendee list, meeting information or other restricted Capital Room content except as expressly permitted.

A separate non-disclosure agreement or opportunity-specific access conditions may apply. Where they impose a higher confidentiality standard, that standard prevails.

Confidentiality obligations do not apply to information that the receiving Participant can demonstrate was lawfully known without restriction, becomes public other than through breach, is lawfully received from an unrestricted third party or is independently developed without use of the Confidential Information.

11. Recordings, Photography and AI Capture

Unless Deployed gives prior written permission, Participants must not record, livestream, photograph, film, transcribe or otherwise capture any presentation, discussion, meeting, screen, document or Participant.

Participants must not use any artificial-intelligence assistant, transcription service, meeting bot, wearable device or automated system to record, transcribe, summarise, extract, analyse, train on or otherwise process Capital Room discussions, materials or Confidential Information without the prior written consent of Deployed and every relevant information owner.

Deployed may arrange authorised photography or recording for operational, anonymized intelligence and market trends data collection or promotional purposes where this is stated in the Event Notice or otherwise communicated. Participants must notify Deployed in advance of any reasonable objection or access requirement.

12. Participant Conduct

Participants must behave professionally and must not:

• make false, misleading, deceptive or unauthorised statements;

• misrepresent identity, authority, mandate, regulatory status, investment capacity or commercial intention;

• engage in harassment, discrimination, intimidation, disruptive conduct or unlawful activity;

• make unsolicited mass promotions or distribute materials outside authorised sessions or channels;

• breach confidentiality, data protection, competition, sanctions, anti-bribery, securities, financial-promotion or professional-conduct obligations;

• attempt to obtain unauthorised access to restricted materials, sessions, systems or Participants;

• use attendee information for unrelated marketing, list-building, resale, scraping or recruitment; or

• use Deployed's name, branding or the Capital Room to imply endorsement, partnership, appointment or authority.

Deployed may refuse entry, restrict access or remove a Participant whose conduct breaches these Terms or may adversely affect safety, confidentiality, legality, programme integrity or the experience of other Participants.

13. Competition Law and Sensitive Information

Participants remain responsible for compliance with competition and antitrust laws. They must not use a Capital Room to agree, coordinate or exchange competitively sensitive information concerning prices, fees, margins, output, allocation of customers or territories, bids, strategic plans or other matters where doing so may restrict competition.

A Moderator or Deployed representative may stop or redirect a discussion, remove materials or require a Participant to leave where competition-law concerns arise. This does not transfer responsibility for compliance from Participants to Deployed.

14. Sanctions, Anti-Bribery and Financial Crime

Each Participant represents that its participation and conduct comply with applicable sanctions, anti-money-laundering, anti-bribery, anti-corruption, fraud-prevention and financial-crime laws.

A Participant must not use a Capital Room in connection with criminal property, unlawful funds, sanctioned persons or territories, bribery, corruption, tax evasion, fraud or other prohibited conduct.

Deployed may request information, conduct checks, decline or remove a Participant and report matters to competent authorities where required by law. Any checks undertaken by Deployed are for its own risk-management purposes and are not due diligence or assurance for another Participant.

15. Intellectual Property and Deployed Materials

Deployed owns or licenses the Capital Room name, programme design, agendas, event formats, branding, graphics, written materials, workflows, access processes and other materials created by or for Deployed.

Participants may use Deployed materials only for internal participation in the relevant Capital Room. They must not copy, reproduce, adapt, republish, distribute, commercialise, scrape, reverse engineer or create derivative products from them without Deployed's prior written consent.

Opportunity owners retain responsibility for and rights in their own materials. By providing materials to Deployed, they grant Deployed a non-exclusive, royalty-free licence to host, reproduce, format and distribute those materials solely for the applicable Capital Room and related administration.

16. Personal Data and Attendee Information

Deployed processes personal data in accordance with its Privacy Notice and applicable data-protection law. This may include registration details, professional information, attendance records, meeting requests, dietary or accessibility requirements, communications, payment information and authorised photography.

Deployed may share limited attendee information with venue, technology, security, production and other service providers where reasonably necessary to operate the Capital Room, and with Participants where this has been stated, consented to or is otherwise lawful.

Participants receiving personal data through a Capital Room must use it only for legitimate professional communications reasonably connected with the programme, respect opt-outs and applicable marketing laws, keep it secure and not sell, scrape, enrich, upload to unrelated databases or disclose it without authority.

17. Sponsors, Speakers and Third Parties

Sponsorship does not constitute Deployed's endorsement of a Sponsor and does not purchase investor access, preferential treatment in investment decisions or any transaction outcome.

Views expressed by Speakers, Sponsors, Moderators, Opportunity Owners and other Participants are their own. Deployed is not responsible for their statements, materials, conduct, products, services or availability.

Capital Rooms may use third-party venues, websites, platforms and service providers. Deployed is not responsible for third-party terms, systems, security, content, acts or omissions except to the extent liability cannot lawfully be excluded.

18. Fees, Payment and Taxes

Applicable fees, payment dates and taxes will be set out in the Event Notice, invoice, order form or separate agreement. Unless stated otherwise, fees are exclusive of VAT and similar taxes.

Fees relate to attendance, sponsorship, presentation, administration, venue, programme or other defined services. They are not success fees and are not contingent on meetings, introductions, capital raised, financing secured, investment made, negotiations commenced or transactions completed.

A Participant remains liable for approved fees even if it does not attend, except where the applicable Event Notice or written agreement expressly provides a cancellation or substitution right.

19. Programme Changes, Cancellation and Force Majeure

Deployed may change the venue, date, timing, format, agenda, Speakers, Moderators, Participants, sessions, Opportunities, materials, access arrangements or technology where reasonably necessary.

Deployed may postpone, relocate, convert to a virtual or hybrid format, suspend or cancel a Capital Room because of venue unavailability, low participation, illness, travel disruption, security concerns, government action, industrial action, technical failure, severe weather, epidemic, force majeure or another circumstance outside its reasonable control.

Any refund, credit or transfer will be governed by the applicable Event Notice or written commercial terms. Unless expressly stated otherwise, Deployed is not liable for travel, accommodation, visa, staffing, opportunity cost or other external costs incurred by a Participant.

20. No Reliance and No Warranties

Capital Rooms, materials, programmes and related services are provided on an "as available" basis. To the fullest extent permitted by law, Deployed excludes all warranties, representations and conditions, whether express or implied, including as to accuracy, completeness, availability, quality, fitness for purpose, non-infringement, security, attendance, commercial value or outcome.

Deployed does not guarantee any particular Participant, Opportunity, Speaker, meeting, response, diligence process, financing, investment, transaction or result.

21. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Subject to the preceding paragraph and to the fullest extent permitted by law, Deployed shall not be liable for any indirect, consequential, special or punitive loss; loss of profit, revenue, business, opportunity, anticipated savings, goodwill or reputation; loss or corruption of data; or any loss arising from a Participant's reliance on materials, conduct of another Participant, failure of a meeting or transaction, cancellation or programme change.

Subject to the preceding paragraphs, Deployed's total aggregate liability arising out of or in connection with a Capital Room, whether in contract, tort, misrepresentation, restitution or otherwise, shall not exceed the total fees actually paid by the affected Participant to Deployed for that Capital Room.

Where a Participant attended without paying a fee, Deployed's total aggregate liability shall not exceed GBP 100.

22. Indemnity

Each Participant shall indemnify Deployed, its directors, officers, employees, contractors and service providers against claims, losses, liabilities, damages, costs and expenses arising from or connected with:

• the Participant's breach of these Terms or Related Terms;

• its unlawful, unauthorised, misleading, negligent or fraudulent conduct;

• its materials, statements, financial promotions, offers, solicitations or regulated activities;

• its breach of confidentiality, data protection, intellectual property, competition, sanctions, anti-bribery, securities, marketing or professional obligations;

• any claim that it lacked authority to disclose information or materials; or

• any negotiation, agreement, transaction or relationship between it and another Participant.

This indemnity does not apply to the extent that a claim results directly from Deployed's fraud, wilful misconduct or liability that cannot lawfully be excluded.

23. Suspension, Removal and Survival

Deployed may restrict access, remove a Participant, disable credentials, withhold materials or terminate participation where it reasonably considers this necessary to protect legal compliance, confidentiality, safety, security, programme integrity, Deployed or other Participants.

Removal does not affect accrued payment obligations or rights. Provisions concerning confidentiality, information use, intellectual property, data protection, liability, indemnity, disputes and governing law survive the end of participation.

24. General Terms

A Participant may not assign or transfer its rights or obligations without Deployed's prior written consent. Deployed may assign or transfer its rights and obligations to an affiliate, successor or purchaser of the relevant business.

If any provision is unlawful or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in effect.

A failure or delay to exercise a right is not a waiver. These Terms and the applicable Related Terms constitute the entire agreement concerning participation in the relevant Capital Room and supersede prior statements on that subject, except in the case of fraud.

No person other than Deployed and the relevant Participant has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999, except that Deployed's directors, officers, employees, contractors and service providers may rely on provisions expressly stated to protect them.

Deployed may amend these Terms for future Capital Rooms. Material changes affecting an existing confirmed booking will be communicated before the relevant Capital Room where reasonably practicable.

25. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or a Capital Room, except that Deployed may seek urgent injunctive or protective relief in any competent jurisdiction.
